1.   PRONOUNS

All pronouns referring to membership shall be the masculine form, i.e., he, his, etc., rather than the use of the masculine/feminine form, i.e., he/she, his/hers, etc.

2.   MAIL

In all instances for which a written, mailed notification is required, the term “mail” shall refer to, and be defined as, written notification sent via U.S. mail, electronic mail, or any reasonable mail service, such as, but not limited to, Federal Express.

3.   WRITTEN NOTICES

In all instances for which a written notice is required, the terms “written notice”, “in writing”, or any similar term, as hereinabove written, shall be construed to mean a letter, either to an individual, or to the General Membership, written and posted or electronically mailed, as defined hereinabove, or any written notification that shall appear in the monthly newsletter, which shall be mailed to the entire Membership, in the manner, hereinabove defined.

4.   QUORUM

A quorum shall be required for all decisions made, and votes taken, on behalf of the Club, by the Board of Directors. It is hereby accepted and understood that a quorum on the Cranbury Lions Board of Directors has, heretofore, been considered to be forty (40) percent of the voting members of the Board.

Now, effective with the date and ratification of this revised and amended Constitution, the Board of Directors so orders that a quorum shall, hereafter, be fifty (50) percent of the voting members of the Board of Directors.

5.   VOTING

A.  Voting among the membership may and shall be effected verbally, by show of hands, or in writing.

B.   Except as otherwise noted, all voting by the membership will take place at a Regular meeting, and the outcome of such votes shall be considered duly affirmed by a majority of the members present at said meeting.

C.   In the case of a required vote by the General Membership, the term “General Membership” shall be defined as every member of the Club in good standing. However, when such a vote is required, the General Membership shall be notified, in writing, either by mail or via the monthly newsletter, that a vote shall take place, and the meeting date. Said vote shall be taken at said meeting, and shall be considered duly affirmed by a majority of the Members present.
