The Board of Directors of the Cranbury Lions shall be comprised of no less than seven (7) Officers, eight (8) Directors, the Tail Twister, the Lion Tamer, and the Chairpersons of certain committees, as required by the Board of Directors. Said Chairpersons shall have both “voting” and “non-voting” status, as described and defined hereunder.

1.   OFFICERS

The Officers of the Club shall be a President, an Immediate Past President, a First Vice President, a Second Vice President, a Third Vice President, a Secretary, a Treasurer. Operations, and a Treasurer – Projects. At the discretion of the Board of Directors, and after a unanimous action by the Board of Directors, the position of Treasurer may be expanded, based on relative circumstance, to include, but not be limited to, an additional Board position, and the Treasurer Positions shall be (1) Treasurer – Operations, and (2) Treasurer – Projects. 

A.      Election of Officers – Officers shall be elected in the following manner:

i.         Nominations – Nominations shall be made by a nominating Committee, which shall consist of the Immediate Past President, the President, and the First Vice President.

ii.       The Nominating Committee shall meet and nominate a slate officers to the standing Board no earlier than the Board of Directors meeting for the month of April, and no later than the Board of Directors meeting for the month of May.

iii.      The Nominating Committee shall notify the nominated individuals by phone, or by e-mail, immediately upon completion of the slate.

iv.     The slate of nominations shall be reduced to writing, and shall be simultaneously circulated and read at two consecutive Regular meetings.

v.       The General Membership shall be notified, in advance, in writing, of the readings of the Slate of Nominations, and the subsequent election. Such written notification may be substituted by a timely notification in the Club’s monthly newsletter.

vi.     The written Slate of Nominations must include an area or areas, for a write-in ballot, during the regular meetings, by the Membership in attendance. A write-in ballot must be read immediately, and such write in ballot shall be seconded at said same meeting.

vii.    Following the second of the two readings, at two consecutive meetings, the Membership shall vote on the Slate of Nominations, by a show of hands.

viii.  Voting may be on the entire Slate of Nominations, or, for each Officer position, individually. In any event, a majority of votes, from the Members present, is required for a nominee to be elected.

ix.     In the case of a write in ballot versus the nomination of an Officer position by the Nominating Committee, a separate vote will be taken among the Members present. A majority of votes is required for a nominee to be elected.

B.     Term of Officers – Officers shall be elected annually, and shall take office at the second meeting in June, and shall hold office for one year, or until their successors have been elected and qualified.

2.   DIRECTORS

In addition to the Officers of the Club, the Board of Directors of the Cranbury Lions Club shall consist of eight (8) Directors.

A.      Election of the Board – Directors shall be elected in the same manner as Officers.

B.     Term of Directors – Four (4) Directors shall be elected annually, and shall take office at the second meeting in June, and shall hold office for two years, or until their successors have been elected and qualified.

3.   TAIL TWISTER AND LION TAMER

In addition to the Officers and Directors of the Club, the Board of Directors of the Cranbury Lions Club shall consist of on Tail Twister and one Lion Tamer, whose duties are outlined and described hereunder.

A.      Election of the Tail Twister and Lion Tamer – the Tail Twister and Lion Tamer shall be elected in the same manner as Officers and Directors.

B.     Term of Tail Twister and Lion Tamer – These two Board positions shall be elected annually, and shall take office at the second meeting in June, and shall hold office for one year, or until their successors have been elected and qualified.

4.   COMMITTEE CHAIRPERSONS

In addition to the Officers and Directors of the Club, and the Tail Twister and the Lion Tamer, the Board of Directors of the Cranbury Lions Club shall consist of certain Committee Chairpersons, selected by the Board of Directors, and ratified by a majority of the Membership in attendance at the Regular meeting at which such nomination is made. Such Committee Chairperson appointments may be made when reasonably required.

Effective with, and prior to, this revised and amended Constitution and By-Laws of the Lions Club of Cranbury, New Jersey, the following Committee Chairpersons shall be included as Voting and/or Non-Voting Members of the Board of Directors:

A.      Chairperson, Information and Technology (Status: Voting)

B.     Chairperson, Membership (Status: Voting)

C.     Chairperson, Publicity (Status: Non-Voting)

D.     Editor, Monthly Newsletter (Status: Non-Voting)
